At a glance

These terms apply when you use innovatusassociates.com. By using it, you agree to them. Our content is general information, not professional, legal or compliance advice, and it does not create an advisory relationship. Our content, logos and the Cybernatics brand belong to us. You are welcome to link to us and to share short extracts with credit. Please do not test, scan or scrape the site. If you find a security issue, tell us through our responsible disclosure channel in section 5. Customers of the Cybernatics Platform, training and the Channel Partner Programme are governed by separate written agreements, which take priority over these terms. Singapore law applies. This summary is a guide only. The full terms below are what apply.

1.About these terms

1.1 Who we are. The website at innovatusassociates.com (the "Website") is operated by Innovatus Associates Pte. Ltd., a company registered in Singapore (UEN 202328697E) with its registered office at 40 Lotus Ave. Singapore 277621 ("Innovatus", "we", "us" or "our").

1.2 Agreement. These Terms of Use, together with our Privacy Policy and Cookie Policy, form the agreement between you and us for your use of the Website. If you do not agree, please do not use the Website. If you use the Website on behalf of an organisation, you confirm you have authority to bind it, and "you" includes that organisation.

1.3 Other agreements prevail. These terms govern the Website only. Our products and services, including the Cybernatics Platform, executive training programmes, advisory work and the Channel Partner Programme, are supplied under separate written agreements or order forms. If there is a conflict, those agreements prevail for the services they cover.

2.Using the Website

2.1 Who may use it. The Website is intended for business users aged 18 or over.

2.2 Access. We aim to keep the Website available, but we do not promise uninterrupted or error-free access. We may change, suspend or withdraw any part of it at any time, including for maintenance or security.

2.3 Your equipment. You are responsible for your own devices, connections and for protecting them against malware.

3.Intellectual property

3.1 Ownership. The Website and everything on it, including text, graphics, software, design, data compilations, logos, trade names and trademarks, belong to Innovatus, our group companies or our licensors and are protected by Singapore and international intellectual property laws. "Innovatus Associates" and "Cybernatics" are trademarks of Innovatus or its group.

3.2 Limited licence. We give you a personal, non-exclusive, non-transferable, revocable licence to view the Website and to download or print extracts for your own internal business use.

3.3 What you may share. You may link to the Website and quote short extracts with clear credit to Innovatus and a link to the source, provided you do not suggest endorsement by us.

3.4 What you may not do. Without our prior written permission, you may not copy, reproduce, publish, modify, translate, sell, license or create derivative works from the Website or its content, or use our names, logos or trademarks, except as set out above.

4.Acceptable use

You agree not to:

  • use the Website for any unlawful, fraudulent or harmful purpose;
  • attempt to gain unauthorised access to the Website, our servers, accounts or connected networks, or to interfere with their operation;
  • scan, probe, penetration-test or run vulnerability assessments against the Website or our systems without our prior written consent (except as permitted in section 5);
  • introduce viruses, malware, logic bombs or other harmful code;
  • use bots, crawlers, scrapers or other automated tools to access or extract content, or use content to train or fine-tune machine learning or artificial intelligence models, without our written permission;
  • overload the Website, or circumvent its security, rate limits or access controls;
  • misrepresent your identity or affiliation, or impersonate us or anyone else; or
  • reverse engineer, decompile or attempt to extract source code from any software on the Website.

Unauthorised access to computer systems may be an offence under Singapore's Computer Misuse Act 1993. We may report breaches to the authorities and pursue any remedies available to us.

5.Responsible disclosure

We value the work of security researchers. If you believe you have found a vulnerability in the Website, please report it to sales@innovatusassociates.com with enough detail for us to reproduce it. We will acknowledge your report within 3 business days. We will not pursue legal action against good-faith research that: (a) stays within the Website and does not touch customer, partner or third-party systems; (b) does not access, modify, retain or disclose personal data beyond the minimum needed to demonstrate the issue; (c) does not degrade service or involve social engineering or physical attacks; and (d) gives us a reasonable period to fix the issue before any public disclosure. This section is not a licence to break the law, and we cannot waive the rights of third parties.

6.Information on the Website

6.1 General information only. The Website, including our articles, threat statistics, framework references and training descriptions, is provided for general information. It is not legal, regulatory, financial, audit or other professional advice and does not take account of your circumstances. You should obtain advice from suitably qualified professionals before acting on anything you read here.

6.2 No advisory relationship. Using the Website, contacting us or receiving materials from us does not create a client, advisory or fiduciary relationship. Any such relationship arises only under a signed agreement.

6.3 Third-party data. Statistics and research we cite come from third parties and are presented as published. We have not independently verified them, and they may change.

6.4 Frameworks and compliance. References to standards and regulations, such as MAS TRM, ISO 27001, SOC 2, NIST CSF, CIS Controls and the PDPA, describe areas that our products or services are designed to support. They do not mean that Innovatus or any customer is certified, audited or compliant with them, and no product or service can guarantee compliance or prevent every cyber incident.

6.5 Accuracy. We take reasonable care to keep the Website accurate and current, but it may contain errors or be out of date. Information may be changed without notice.

7.What you send us

7.1 Enquiries. Information you submit through the Website is handled under our Privacy Policy. Please do not send passwords, credentials, confidential or sensitive information, or personal data of others without their permission.

7.2 Confidentiality. Unless we have signed a non-disclosure agreement with you, information you send us through the Website is not treated as confidential, other than as described in our Privacy Policy.

7.3 Feedback. If you send us ideas or suggestions, you allow us to use them freely, without payment or attribution, for any purpose, to the extent permitted by law.

8.Third-party links and content

The Website may link to third-party websites, platforms or content. We provide links for convenience, do not control those sites, and do not endorse or accept responsibility for their content, security or privacy practices. Using them is at your own risk.

9.Disclaimers and limitation of liability

9.1 No warranties. To the fullest extent permitted by law, the Website is provided "as is" and "as available", without warranties of any kind, whether express or implied, including as to accuracy, availability, fitness for a particular purpose, non-infringement, or that the Website will be free from errors, viruses or interruption.

9.2 Exclusion of liability. To the fullest extent permitted by law, Innovatus and its directors, officers, employees, agents and affiliates are not liable for any loss or damage arising out of or in connection with your use of, or inability to use, the Website or any linked site, whether in contract, tort (including negligence), breach of statutory duty or otherwise. This includes loss of profit, revenue, business, data or goodwill, and any indirect, incidental, special, consequential or punitive loss, even if we were told it might occur.

9.3 Cap. If, despite section 9.2, we are found liable to you in connection with the Website, our total liability will not exceed S$1,000.

9.4 What is not excluded. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded or limited, including under the Unfair Contract Terms Act 1977. Where that Act applies, our exclusions and limits apply only so far as they are reasonable.

9.5 Separate agreements. This section does not limit or change the liability terms of any separate agreement between you and us.

10.Third-party rights

Except for the persons named in section 9.2, who may enforce and rely on that section, a person who is not a party to these terms has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any of its terms. We may vary or end these terms without the consent of any such person.

11.Suspension and termination

We may suspend or restrict your access to the Website at any time, without notice, if we reasonably believe you have breached these terms or that access poses a security or legal risk. Sections 3, 4, 6, 9, 10, 14 and 15 continue to apply after your access ends.

12.Privacy and cookies

We process personal data in line with our Privacy Policy and use cookies as described in our Cookie Policy. By using the Website, you acknowledge them.

13.Changes to these terms

We may update these terms from time to time. The updated version will be posted on the Website with a new effective date, and your continued use after that date means you accept the changes. Please check this page regularly.

14.General

Entire agreement. These terms, our Privacy Policy and our Cookie Policy are the entire agreement between you and us about the Website.

Severability. If any provision is found invalid or unenforceable, the rest remain in effect.

No waiver. Delay or failure to enforce a right is not a waiver of it.

Assignment. You may not transfer your rights under these terms. We may transfer ours to a group company or a successor to our business.

Events beyond our control. We are not liable for any failure or delay caused by events beyond our reasonable control.

Notices. We may give notice to you by posting on the Website or by email to an address you have given us. Notices to us must be sent to the address in section 16.

15.Governing law and disputes

These terms and any dispute or claim arising out of or in connection with them or the Website (including non-contractual disputes) are governed by the laws of the Republic of Singapore. Before starting proceedings, the parties will try in good faith to resolve any dispute by discussion for at least 30 days after one gives the other written notice of it. If the dispute is not resolved, the courts of Singapore have exclusive jurisdiction, and each party submits to it.
